Terms of Service for MyAI

1. Introduction

Purpose and Agreement to Terms

This Terms of Service Agreement ("Agreement") is entered into by and between Trainwell LLC, an Iowa-based company ("Company," "we," "us," or "our"), and you ("User" or "you"). This Agreement becomes effective upon your use of MyAI, a service provided by Trainwell LLC, or upon electronic acceptance. By accessing, browsing, or using MyAI, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, including all policies and guidelines incorporated by reference.

Modifications to Terms

Trainwell LLC reserves the right to change, modify, or update these terms at any time. Users must review these terms regularly to stay informed of any changes. Continued use of MyAI following any modifications constitutes acceptance of the revised terms.

2. Definitions

  • Services: refers to the MyAI platform and all related AI-driven tools provided by Trainwell LLC.
  • User Data: refers to any data provided by the user, including registration details, contact information, and usage data.
  • Proprietary Data: refers to confidential business-related information, including trade secrets, business strategies, and client lists.
  • Customer Data: refers to any information related to the user’s customers, including but not limited to personal information, purchase history, and contact details.
  • User: refers to any individual or entity using MyAI.
  • Subscription Plan: refers to the tiered service plans offered by Trainwell LLC, each with specific features and pricing.
  • Token Usage: refers to the number of AI processing units consumed by the user within their subscription limits.

3. Services Provided

Description of MyAI

MyAI is an AI-powered assistant designed to enhance business operations by providing insights, automation, and real-time responses. The platform offers:

  • AI-powered guidance on business processes and strategies.
  • Automated responses to business inquiries.
  • Customizable AI-generated content tailored to user needs.
  • Integration with third-party services and business tools.
  • Secure storage and retrieval of user preferences and AI interactions.
  • Advanced analytics to optimize user experience and business decisions.

AI Functionality

MyAI operates using pre-programmed algorithms and user inputs to generate responses. While it aims to enhance decision-making, it is not a substitute for professional judgment and should not be solely relied upon for critical decisions. Users acknowledge that AI-generated responses may not always be accurate or appropriate and should exercise discretion before acting on recommendations provided by MyAI.

4. Pricing and Billing

MyAI Pricing Structure for Developers

  1. Base Plan: $149/month
    • Includes 3 million tokens per month for the organization.
    • Covers one admin user.
    • Tokens are pooled for the entire organization.
  2. Additional Team Members: $14/user per month
    • Each additional user adds 500K tokens to the organization's total token pool.
    • All users share the same token pool.
  3. Overages: Pay-As-You-Go
    • When the organization exceeds its token limit, an auto top-up of $50 is triggered.
    • This adds 500K tokens to the organization’s pool.
    • Multiple top-ups can occur in a billing cycle as needed.
  4. Prepaid Token Packs (Optional, Discounted Pricing)
    • Organizations can pre-purchase additional tokens at a discounted rate ($0.08 per 1K tokens).
    • Available packs:
      • 500K tokens → $40
      • 1M tokens → $80
      • 5M tokens → $400
    • Prepaid tokens are used before triggering auto top-ups.

Billing Logic for Implementation

  1. Each organization has a base token pool (3M) that increases with added team members.
  2. Token usage is tracked at the organizational level.
  3. If usage exceeds available tokens, trigger a $50 charge and add 500K tokens automatically.
  4. Allow prepaid token purchases to override auto top-ups until the prepaid balance runs out.
  5. At the start of a new billing cycle, reset token limits based on active subscriptions.

Payment Processing

  • Payments are processed through third-party providers and require a valid credit card or approved payment method.
  • Users must maintain an active payment method to avoid service interruptions.
  • Failure to make timely payments may result in account suspension.

5. User Responsibilities

Account Registration

Users must create an account to access certain features of MyAI. By registering, users agree to:

  • Provide accurate and current information.
  • Maintain the security of their account credentials.
  • Promptly report unauthorized account activity.
  • Refrain from sharing account credentials with unauthorized parties.

User Conduct

Users agree not to:

  • Use MyAI for illegal, unethical, or fraudulent activities.
  • Engage in activities that infringe on intellectual property rights.
  • Attempt to reverse-engineer, hack, or disrupt MyAI systems.
  • Upload or input malicious software, viruses, or harmful content.
  • Misuse AI-generated content in ways that violate laws, regulations, or ethical standards.
  • Circumvent MyAI’s security features or billing structure.

6. Data Protection and Privacy

User Data

Trainwell LLC adheres to strict privacy standards as outlined in the Privacy Policy. By using MyAI, users consent to data collection and processing in accordance with this policy.

Proprietary and Customer Data

Users must not input proprietary or customer data into MyAI. Trainwell LLC does not store or process such data and is not liable for any breaches resulting from the misuse of MyAI in handling sensitive information. Users remain fully responsible for any confidential or personal data they choose to input into the system.

Security Measures

Trainwell LLC employs:

  • Data encryption (in transit and at rest).
  • Regular security audits.
  • Multi-factor authentication.
  • Role-based access controls to restrict unauthorized usage.

Data Breach Response

In the event of a breach, Trainwell LLC will:

  • Notify affected users.
  • Provide relevant breach details, including compromised data.
  • Implement corrective measures and reinforce security.

7. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between the user and Trainwell LLC regarding MyAI.

Severability

If any provision is deemed invalid, the remaining provisions shall remain enforceable.

Assignment

Users may not transfer rights under these Terms without Trainwell LLC’s consent.
